Matthew A. Kitchen

With prior experience as a certified public accountant and auditor, Matt Kitchen has an affinity for numbers and a curiosity for business that is reflected in his “businessperson’s approach” to his practice, concentrated in the areas of business and real estate law.

He represents closely-held and private equity backed companies in the purchase and sale of businesses, formation of entities, shareholder and member relations, and financing transactions Matt also has extensive experience in the drafting and negotiation of commercial contracts, including supply agreements, joint venture agreements, and master services agreements, often acting in an outside general counsel role for clients. In his M&A practice, Matt has handled numerous large middle market sale processes, through the selection and engagement of investment advisors, competitive sale process and execution of the ultimate transaction. Additionally, he has represented private equity backed platform companies in over one hundred add-on acquisitions. Matt also represents executives in the negotiation and documentation of their employment relationships and equity arrangements.

The real estate component of Matt’s practice includes the acquisition, sale and development of commercial properties and the drafting and negotiation of leases and construction agreements. Additionally, Matt is a licensed title insurance agent.

Prior to law school, Matt worked as a certified public accountant and an auditor for a large regional public accounting firm and as an internal auditor supporting the commercial lending group of a national bank. From this experience, Matt gained the ability to understand and navigate complex business issues, which made for a smooth transition into law school and the practice of law.

Matt holds an undergraduate degree in accounting from Miami University and earned his law degree from the University of Cincinnati College of Law. While in law school, Matt served as Managing Editor of the University of Cincinnati Law Review and was selected as a Corporate Law Fellow.

A long-time resident of the Walnut Hills neighborhood, Matt has served as the Treasurer of the Board of Trustees of the Walnut Hills Redevelopment Foundation, as well as on its Real Estate Development and Finance Committees.

At Katz Teller, Matt has served as a member of the firm's Board of Directors and its building, finance, opinion and strategic planning committees.
